Superficies Agreement - Thabarwa Retreat "Good Deed" Program (Revised)

This Superficies Agreement ("Agreement") is made and entered into as of [DATE] by and between:

1. Thabarwa International Foundation, a duly organized and existing foundation under the laws of Thailand, with its registered office at [ADDRESS] ("Thabarwa").

2. [Donor Name], residing at [ADDRESS] ("Donor").

WHEREAS, Thabarwa owns a parcel of land located at [LAND ADDRESS] ("Land"); and

WHEREAS, Donor desires to use the Land for the purpose of occupying a house ("Good Deed House") constructed by Thabarwa; and

WHEREAS, Thabarwa desires to grant Donor the right to use the Land for the occupancy of the Good Deed House;

NOW, THEREFORE, in consideration of the mutual covenants and agreements hereinafter set forth, the parties agree as follows:

1. Grant of Superficies Right:

1.1. Thabarwa grants to Donor a non-exclusive right to use the Land for the purpose of occupying the Good Deed House (the "Superficies Right").

1.2. The Superficies Right shall be for a term of 30  years commencing on [DATE] and ending on [DATE] (the "Initial Term"). Donor shall have the option to extend the Superficies Right for an additional nine (9) years upon written notice to Thabarwa delivered no less than six (6) months prior to the expiration of the Initial Term.

2. Construction and Ownership of Good Deed House:

2.1. Thabarwa shall be responsible for the construction of the Good Deed House in accordance with the plans attached to this Agreement ("Plans").

2.2. Donor acknowledges that Thabarwa owns the Land and shall have no ownership interest in the Land itself.

3. Responsibilities of Donor:

3.1.  Maintenance: Donor shall be responsible for all maintenance costs of the Good Deed House (interior and exterior) for the entire agreement period.

3.2. Minor Maintenance: Donor shall be responsible for the costs of repairing any damages exceeding normal wear and tear to the Good Deed House during the agreement to keep house in good maintained standard as when bought A joint inspection will be conducted every 6 months to assess any such damages.

3.3. Electricity Bills: Donor shall be responsible for the payment of electricity - water bills based on monthly meter readings for the Good Deed House.

3.4. Relocation:  Donor has the right, at its own expense, to relocate the Good Deed House to another Thabarwa land plot anywhere during the  the Agreement (after the Initial Term or any extension thereof). Donor must provide Thabarwa with written notice no less than [NUMBER] months in advance of such relocation.  Thabarwa shall cooperate with the relocation and provide reasonable access to the Land for such purpose If Thabarwa land is considered.

4. Responsibilities of Thabarwa:

4.1. Land Maintenance: Thabarwa shall be responsible for the maintenance of the Land.

5. Usership of Good Deed House:

5.1. Donor shall have the right to use the Good Deed House for a total of six (6) months per year over the term of the Agreement if a lease back solution is chosen ) lease back agreement wll be made separately. This usership can be used for the donor's family, employees' families, or rented out by the donor.

5.2. Thabarwa shall have the right to use or rent out the Good Deed House for the remaining six (6) months of each year.

5.3. Any rental income earned by Donor from renting out the Good Deed House during their usership period may be used for charitable purposes at Donor's discretion.** Donor is not obligated to donate any rental income to Thabarwa.

5.4. Donor can choose to not lease back and thereby have the whole owner ship period of 30 years as theirs.

6. Termination:

This Agreement may be terminated by either party upon written notice to the other party in the event of a material breach of this Agreement by the other party that is not cured within [NUMBER] days after written notice of such breach.

7. Governing Law:

This Agreement shall be governed by and construed in accordance with the laws of Thailand.

8. Entire Agreement:

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written.

9. Amendment:

This Agreement may be amended only by a written instrument signed by both parties.

All notices and other communications hereunder shall be in writing and shall be deemed to have

ข้อตกลงเหนือพื้นดิน - โปรแกรม "การทำความดี" ของ Thabarwa Retreat (แก้ไข)

ข้อตกลงเหนือพื้นดินนี้ ("ข้อตกลง") จัดทำขึ้นและเข้าทำ ณ วันที่ [DATE] โดยและระหว่าง:

1. มูลนิธิ Thabarwa International Foundation ซึ่งเป็นมูลนิธิที่จัดตั้งขึ้นอย่างถูกต้องและดำรงอยู่ตามกฎหมายของประเทศไทย โดยมีสำนักงานจดทะเบียนอยู่ที่ [ADDRESS] ("Thabarwa")

2.2. ผู้บริจาครับทราบว่า Thabarwa เป็นเจ้าของที่ดินและจะไม่มีผลประโยชน์ในการเป็นเจ้าของที่ดิน

3. ความรับผิดชอบของผู้บริจาค:

3.1. การบำรุงรักษา: ผู้บริจาคจะต้องรับผิดชอบค่าบำรุงรักษาทั้งหมดของ Good Deed House (ภายในและภายนอก) ตลอดระยะเวลาสัญญา

3.2. การบำรุงรักษาเล็กน้อย: ผู้บริจาคจะต้องรับผิดชอบค่าใช้จ่ายในการซ่อมแซมความเสียหายใด ๆ ที่เกินกว่าการสึกหรอตามปกติให้กับ Good Deed House ในระหว่างข้อตกลงเพื่อให้บ้านมีมาตรฐานการบำรุงรักษาที่ดีเช่นเดียวกับตอนที่ซื้อ จะมีการตรวจสอบร่วมกันทุก ๆ 6 เดือนเพื่อประเมินความเสียหายดังกล่าว ความเสียหาย

3.3. ค่าไฟฟ้า: ผู้บริจาคจะต้องรับผิดชอบในการชำระค่าไฟฟ้า - ค่าน้ำตามการอ่านมิเตอร์รายเดือนของ Good Deed House

3.4. การย้ายที่ตั้ง: ผู้บริจาคมีสิทธิ์โดยออกค่าใช้จ่ายเอง ในการย้าย Good Deed House ไปยังที่ดิน Thabarwa อื่นที่ใดก็ได้ในระหว่างข้อตกลง (หลังจากระยะเวลาเริ่มต้นหรือการขยายเวลาใด ๆ ของข้อตกลง) ผู้บริจาคจะต้องแจ้ง Thabarwa เป็นลายลักษณ์อักษรล่วงหน้าไม่น้อยกว่า [NUMBER] เดือนล่วงหน้าก่อนการย้ายสถานที่ดังกล่าว Thabarwa จะต้องให้ความร่วมมือกับการย้ายที่ตั้งและให้การเข้าถึงที่ดินตามสมควรเพื่อวัตถุประสงค์ดังกล่าว หากพิจารณาที่ดิน Thabarwa

5. การใช้งานบ้านความดี:

5.1. ผู้บริจาคจะมีสิทธิใช้ Good Deed House เป็นเวลารวมหก (6) เดือนต่อปีตลอดระยะเวลาของข้อตกลง หากเลือกวิธีแก้ปัญหาการเช่ากลับ ) สัญญาเช่าคืนจะทำแยกต่างหาก ผู้ใช้นี้สามารถนำไปใช้สำหรับครอบครัวของผู้บริจาค ครอบครัวของพนักงาน หรือให้เช่าโดยผู้บริจาค

5.2. ฐพรวาจะมีสิทธิใช้หรือให้เช่าบ้านความดีได้เป็นเวลาหก (6) เดือนที่เหลือในแต่ละปี

5.3. รายได้ค่าเช่าใดๆ ที่ผู้บริจาคได้รับจากการให้เช่า Good Deed House ในช่วงระยะเวลาการใช้งาน อาจนำไปใช้เพื่อการกุศลได้ตามดุลยพินิจของผู้บริจาค** ผู้บริจาคไม่มีภาระผูกพันในการบริจาครายได้ค่าเช่าใดๆ ให้กับ Thabarwa

5.4. ผู้บริจาคสามารถเลือกที่จะไม่เช่ากลับ และด้วยเหตุนี้จึงมีระยะเวลาของเจ้าของเรือทั้งหมด 30 ปีเป็นของพวกเขา

6. การสิ้นสุด:

ข้อตกลงนี้อาจถูกยกเลิกโดยฝ่ายใดฝ่ายหนึ่งเมื่อมีการแจ้งเป็นลายลักษณ์อักษรไปยังอีกฝ่ายในกรณีที่อีกฝ่ายฝ่าฝืนข้อตกลงนี้อย่างเป็นรูปธรรมซึ่งไม่ได้รับการแก้ไขภายใน [NUMBER] วันหลังจากแจ้งเป็นลายลักษณ์อักษรเกี่ยวกับการละเมิดดังกล่าว

7. กฎหมายที่ใช้บังคับ:

8. ข้อตกลงทั้งหมด:

ข้อตกลงนี้ประกอบด้วยข้อตกลงทั้งหมดระหว่างคู่สัญญาทั้งสองฝ่ายเกี่ยวกับสาระสำคัญของข้อตกลงนี้ และแทนที่การสื่อสาร การรับรอง หรือข้อตกลงก่อนหน้านี้หรือที่เกิดขึ้นพร้อมกันทั้งหมด ไม่ว่าจะด้วยวาจาหรือลายลักษณ์อักษร

9. การแก้ไข:

ข้อตกลงนี้อาจแก้ไขได้โดยเอกสารลายลักษณ์อักษรที่ลงนามโดยทั้งสองฝ่ายเท่านั้น

10. ประกาศ:

ประกาศและการสื่อสารอื่น ๆ ทั้งหมดต่อไปนี้จะต้องจัดทำเป็นลายลักษณ์อักษรและจะถือว่ามี
